Terms and Conditions

These terms and conditions ("Agreement") govern the relationship between [Photographer's Name] ("Photographer") and the client ("Client") in connection with the provision of photography services. By engaging Photographer's services, Client agrees to be bound by these terms and conditions.

1. Services Provided

- Photographer shall provide professional photography services as agreed upon between the parties, including but not limited to portrait photography and real estate photography.

2. Ownership of Photos

- Photographer retains all rights to the photos, including but not limited to copyright and intellectual property rights.

3. License Grant

- For portrait photography: Photographer grants Client a non-exclusive, non-transferable license to use the photos for personal use for a period of 365 days from the date of delivery.

- For real estate photography: Photographer grants Client a non-exclusive, non-transferable license to use the photos for the duration the real estate listing is active or until it is taken down, whichever comes first.

4. Usage Restrictions

- Client shall not sell, sublicense, distribute, or otherwise transfer the photos to any third party without prior written consent from Photographer.

- Client shall not use the photos for any commercial purposes without obtaining a separate commercial license from Photographer.

5. Modification and Alteration

- Client shall not modify or alter the photos in any way without prior written consent from Photographer.

6. Payment

- Client shall pay Photographer the agreed-upon fee for the photography services rendered. Payment terms and methods shall be as agreed upon between the parties.

7. Confidentiality

- Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the engagement.

8. Indemnification

- Client agrees to indemnify and hold Photographer harmless against any claims, damages, or liabilities arising out of Client's use of the photos in violation of this Agreement.

9. Termination

- Either party may terminate this Agreement upon written notice if the other party breaches any material term of this Agreement and fails to remedy such breach within a reasonable time period.

10. Governing Law

- This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction].

11. Entire Agreement

- This Agreement constitutes the entire understanding between the parties concerning the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral.

By engaging Photographer's services, Client acknowledges that they have read, understood, and agree to be bound by these terms and conditions.
